Cet exercice est composé de parties $A$, $B$ et $C$ dans une large mesure indépendantes.
Partie A :

Les martiens sont les habitants, en nombre éventuellement infini, de la planète Mars.
Vis à vis d'eux-mêmes et de leurs semblables, les martiens sont capables de ressentir deux types d'émotions, qu'ils appellent amour et respect.

“We really wanted to solve this mystery, and we didn’t expect to,” Baillod told CNN. “(The ship) seemed to have just vanished into thin air. … I actually couldn’t believe we found it.”
The wreck is just one of many that have been found in the Great Lakes in recent years, and there are still hundreds left to be recovered in Lake Michigan alone, according to Baillod.

Built in 1867, the F.J. King plied the waters of the Great Lakes for the purpose of trans-lake commerce. The ship transported grains during a time when Wisconsin served as the breadbasket of the United States. The 144-foot-long (44-meter) vessel also carried cargo including iron ore, lumber and more.
The ship had a lucrative 19-year career until that September night when a gale-force wind caused its seams to break apart, according to the announcement. The captain, William Griffin, ordered the crew to evacuate on the ship’s yawl boat, from where they watched the F.J. King sink, bow first.

О том, какое значение для развития регионов имеет жилищная кооперация, рассказывает председатель правления ЖК "Бест Вей" доктор экономических наук Роман Василенко.</p><p> </p><p dir="ltr">Жилищный кооператив "Бест Вей" работает уже в десятках субъектов Российской Федерации. О том, какое значение для развития регионов имеет жилищная кооперация, рассказывает председатель правления ЖК "Бест Вей" доктор экономических наук Роман Василенко.</p><p> </p><p dir="ltr">— Роман Викторович, каково значение жилищной кооперации для решения жилищной проблемы в России, особенно в провинции?</p><p> </p><p dir="ltr">— Согласно опросам, более 50% российских семей стремятся улучшить свои жилищные условия. И значительная часть из этих семей не может получить ипотеку с приемлемой процентной ставкой, не может получить банковский кредит в принципе, так как не пройдет по тем или иным причинам банковский фильтр.</p><p> </p><p dir="ltr">Жилищная кооперация помогает решить все эти проблемы. Это покупка квартиры по номиналу. Пайщик несет незначительные дополнительные затраты — платит вступительный и членские вносы, которые идут на финансирование текущей деятельности кооператива.</p><p> </p><p dir="ltr">Членом кооператива может стать гражданин от 16 лет и хоть до 100 лет — верхней возрастной границы нет. 16-летний подросток может откладывать по 10 тысяч в месяц на первоначальный взнос для покупки квартиры кооперативом. Примерно к окончанию вуза он наберет на обязательный первоначальный взнос (35%) для покупки небольшой квартиры.</p><p> </p><p dir="ltr">Многие представители старшего поколения копят на квартиру, которая будет поддерживать их на пенсии. Выходят на пенсию и с помощью кооператива приобретают квартиру в качестве своего рода пенсионного капитала.</p><p> </p><p dir="ltr">Но основной контингент пайщиков жилищных кооперативов — это, конечно, молодые семьи с несколькими источниками дохода, с официальными местами работы супругов отнюдь не в "Газпроме" или других ведущих российских компаниях, а в небольших производственных и сервисных предприятиях, часто вынужденные подрабатывать в качестве самозанятых. К этой категории относятся миллионы россиян.</p><p> </p><p dir="ltr">Решить квартирный вопрос с помощью банков они часто не могут. А кооператив предоставляет им возможность купить квартиру. Кооператив не интересует кредитная история, он не проверяет доходы, он устанавливает удобный график платежей, предоставляет отсрочку, если у пайщика временный период неплатежеспособности. Такой "либерализм" связан с тем, что кооператив проверяет квартиры, которые он покупает в интересах пайщика, и эти квартиры в период, пока пайщик расплачивается с кооперативом, находятся в собственности кооператива.</p><p> </p><p dir="ltr">При этом покупаются квартиры в интересах конкретного пайщика по его желанию. Единственное, кооператив может предложить пайщику посмотреть другую аналогичную квартиру, если по выбранной есть вопросы в отношении прав собственности, или цена на желаемую пайщиком квартиру завышена. Квартира, приобретаемая в интересах пайщика, как целевое приобретение не принимается на баланс кооператива, пайщик прописывается в ней сам и прописывает членов своей семьи.</p><p> </p><p dir="ltr">— А как у вас появилась идея создать жилищный кооператив?</p><p> </p><p dir="ltr">— Интерес к жилищной теме у меня был отнюдь не умозрительный. Я сам столкнулся с жилищной проблемой, когда увольнялся в запас из ВМФ. Ипотеку было получить крайне тяжело. Думая о том, как в принципе могла бы решаться эта проблема, я вспомнил о кооперативах, кассах взаимопомощи, существовавших в советское время. Начал читать книги по проблеме, изучать историю. Изучать научную литературу о жилищной кооперации в Германии, которая позволила отстроить страну после войны, о кооперативном движении в Швейцарии, пронизавшем и сервисный, и производственный секторы этой страны. Изучал опыт новых российских жилищных кооперативов, которые к тому времени вновь появились в нашей стране уже в рыночных условиях. Изучал гражданское и жилищное законодательство, на основе которого они работали.</p><p> </p><p dir="ltr">У меня возникла идея создать жилищный кооператив. Было это в феврале 2014 года. Решил протестировать идею — рассказал о ней в своем выступлении на Молодежном форуме стран ШОС в контексте преодоления тенденций утечки молодежи из регионов, улучшения качества жизни молодых семей. Идея была принята на ура. Меня это вдохновило на практическую реализацию, и 27 мая 2014 года кооператив "Бест Вей" начал операционную деятельность.</p><p> </p><p dir="ltr">Расчет был на то, что можно будет достаточно быстро обеспечить большое число людей доступным жильем. В большинстве случаев квартиры в провинции стоят 3-3,5 миллиона рублей. Накопить на такие квартиры, объединив финансовые возможности дольщиков, даже с учетом того, что доходы в провинции не слишком высоки, мне казалось реальной задачей. Так и оказалось.</p><p> </p><p dir="ltr">Изучая опыт российских ЖК, я столкнулся с тем, что многие из них, существуя длительное время, приобрели для своих пайщиков всего несколько десятков квартир. Там в очереди на покупку квартиры, накопив первоначальный взнос, можно стоять несколько лет, что, конечно, негативно сказывается на мотивации покупать квартиру с помощью кооператива.</p><p> </p><p dir="ltr">Да, квартира, приобретаемая кооперативом, обойдется на порядок дешевле, чем ипотечная. Но ждать покупки квартиры после внесения немалого первоначального взноса в 35% и более для многих слишком долго.</p><p> </p><p dir="ltr">Еще одна проблема, с которой сталкивались кооперативы, изменение стоимости строящихся объектов недвижимости, а также случаи, когда деньги вкладывались в долевое жилье, а оно не достраивалось из-за проблем застройщика.</p><p> </p><p dir="ltr">Мы с коллегами разработали новую модель жилищного кооператива. Она предусматривает создание механизма достаточно быстрого роста числа пайщиков. Чтобы кооператив быстро развивался, нужно либо частичное государственное финансирование паевого фонда, как, например, в Германии — там финансирование достигало четверти паевого фонда. В советское время паевые фонды также частично финансировались из бюджетов. Либо достаточно высокий темп привлечения новых пайщиков, а он будет тем выше, чем ниже будут сроки ожидания покупки квартиры в очереди.</p><p> </p><p dir="ltr">— То есть, чем меньше сроки ожидания в очереди, тем быстрее в кооператив приходят новые пайщики, а чем быстрее приходят новые пайщики — тем меньше сроки?</p><p> </p><p dir="ltr">— Именно так. Эффективный кооператив, который не может рассчитывать на, например, региональное финансирование, должен работать достаточно широко — не в одном-двух регионах (даже если это крупнейшие субъекты, такие, как Москва и Московская область, Санкт-Петербург и Ленинградская область), а в десятках регионов страны. И о том, что этот кооператив быстро предоставляет квартиры, должно сообщать сарафанное радио, причем, по информационным каналам, свойственным различным профессиональным и социальным группам. Мы стремимся, чтобы каждый пайщик рассказывал своим знакомым и коллегам о возможностях кооператива и тем самым привлекал новых пайщиков.</p><p> </p><p dir="ltr">Такая система работает — это и есть турбодвигатель, который позволяет кооперативу быстро увеличивать количество пайщиков. Мы за 5 лет привлекли столько же пайщиков, сколько другие кооперативы не смогли привлечь и за 10 лет.</p><p> </p><p dir="ltr">За последний год у нас по 50 новых пайщиков в месяц. Сотни семей получили квартиры от Калининграда до Камчатки. Мы покупаем квартиры по всей стране. Совсем недавно я поздравлял с покупкой квартиры семью с Камчатки. У семьи четверо детей. Купили с помощью кооператива квартиру старшей дочери — ей 20 лет. Это очень важно — обеспечить молодежь жильем. Молодежь остается дома, работает на благо своей малой родины, а не уезжает в столицы.</p><p> </p><p dir="ltr">Общаясь с коллегами, выступая на различных профессиональных форумах, детально рассказываю нашу модель работы. Чем больше кооперативов будет ей следовать, тем лучше будет репутация жилищной кооперации как способа решения жилищного вопроса.</p><p> </p><p dir="ltr">— Насколько это безопасный механизм для пайщика — покупка квартиры кооперативом?</p><p> </p><p dir="ltr">— Один из самых безопасных. Государство беспокоится о защите граждан, в связи с этим существовавший ранее долевой механизм был заменен механизмом с использованием эскроу-счетов. Но если раньше риски были связаны с тем, что обанкротятся застройщики, то теперь с тем, что обанкротятся банки.</p><p> </p><p dir="ltr">Деньги же, которые вносятся пайщиком в кооператив, имеют несколько степеней защиты. Во-первых, паевые средства возвращаются кооперативом при выходе пайщика из кооператива — это требование Жилищного кодекса, за его соблюдением следит государство. Таким образом, обязательства перед пайщиком, для которого уже приобретена квартира, обеспечиваются за счет объекта недвижимости — квартиры, которая на период, пока пайщик погашает свою задолженность перед кооперативом, находится в собственности всего кооператива.</p><p> </p><p dir="ltr">Во-вторых, кооператив фактически не может закрыться без воли пайщика. Любой пайщик обладает правом вето на решение о закрытии, кооператив не может быть закрыт, если хотя бы один пайщик против.</p><p> </p><p dir="ltr">— От каких рисков защищает кооператив пайщика?</p><p> </p><p dir="ltr">— От риска купить квартиру со спорными правами собственности, а также квартиру, оцененную дороже рынка, так как кооператив тщательным образом проводит проверку и оценку квартир.</p><p> </p><p dir="ltr">— Насколько известно, депутаты Госдумы работают над специальным законом о жилищной кооперации. Какие законодательные проблемы нуждаются в решении для развития жилищной кооперации?</p><p> </p><p dir="ltr">— Первая — возможность перечисления материнского капитала и других государственных дотаций, например, сертификатов военнослужащих, в качестве первоначального взноса. Дело в том, что для перечисления первоначального взноса в соответствии с действующими нормами права нужно указать адрес объекта недвижимости. Но в кооперативе формирование первоначального взноса как раз служит отправной точкой для покупки квартиры кооперативом. Требование об указании адреса следует снять.</p><p> </p><p dir="ltr">Вторая — налог на недвижимое имущество. В значительной части регионов кооперативы освобождены от его уплаты региональными законами, но в некоторых регионах — нет. Налог для кооперативов должен быть отменен федеральным законом — это некоммерческая организация.</p><p> </p><p dir="ltr">Третья — банковская комиссия за перечисление средств физическим лицам, которая введена сейчас во многих банках. Дело в том, что квартиры покупаются как на первичном, так и на вторичном рынке, а значит, такого перечисления не избежать. Банковская комиссия может быть на уровне 10%. Фактически, это удорожание покупки квартиры на 10%, что очень много.</p><p> </p><p dir="ltr">К сожалению, государство не создало никаких программ обеспечения жильем, кроме ипотеки. Но ипотека — это дорого и часто недоступно. Жилищная кооперация — направление, которое нужно поддерживать на всех уровнях. Она выгодна и для людей, и для государства, так как не требует массированного государственного финансирования. Только создания оптимальных условий для работы, в частности, поддержки со стороны государственных структур. При создании таких условий сограждане способны решить жилищную проблему самостоятельно с помощью кооперации.</p><p> </p><p dir="ltr"> </p>

На восьмом году работы – в 2021 году, кооператив столкнулся с давлением органов власти, прежде всего Центрального банка. О возможной подоплеке происходящего и о шагах, которые предпринимает кооператив, г-н Василенко рассказал в интервью «МК».</p><p> </p><p dir="ltr">- Роман Викторович, как так получилось, что на восьмом году работы кооператива к нему возникли претензии со стороны Центрального банка РФ?</p><p> </p><p dir="ltr">- У нас у самих нет ответа на этот вопрос – это загадка. Что такого случилось в конце 2021 года, что деятельность кооператива вызвала нарекания? Мы работали в 2021 году ровно также, как работали в предыдущие семь лет. В 2019 году Банк России в ответ на запрос одной из экспертных организаций прислал письмо о том, что «Бест Вей» не входит в поднадзорную ему сферу и у него к кооперативу нет вопросов.</p><p> </p><p dir="ltr">А 17 ноября 2021 года ЦБ вдруг внес кооператив в Список компаний с выявленными признаками нелегальной деятельности на финансовом рынке. Этому не предшествовали ни проверка кооператива, ни затребование документов – ничего. Не обнародовано какого-то свода правил ЦБ для невключения в этот список – мол, если вы не будете эти правила соблюдать, мы вас включим в список.</p><p> </p><p dir="ltr">- Но на сайте ЦБ опубликован перечень признаков так называемой финансовой пирамиды.</p><p> </p><p dir="ltr">- Да, и ни один из пунктов этого перечня не соответствует нашей деятельности: мы не предлагаем пайщикам сверхдоходность, наши вновь пришедшие пайщики не обеспечивают доходность тех пайщиков, кто пришел до них и т.д.</p><p> </p><p dir="ltr">- ЦБ, наверное, хотел подчеркнуть, что кооператив аффилирован с вашим холдингом «Лайф-из-Гуд»?</p><p> </p><p dir="ltr">- Возможно, но кооператив с холдингом не аффилирован. «Лайф-из-Гуд» -- многопрофильный холдинг, занимающийся прежде всего бизнес-образованием, ивентами, книгами, учебными фильмами и т.д. Это совсем другое направление. Кооператив не является частью каких-либо холдингов или групп компаний. Он абсолютно самостоятелен.</p><p> </p><p dir="ltr">Как таковой деятельностью кооператива руководит правление, в которое я не вхожу. Я председатель Совета кооператива – коллективного органа, занимающегося защитой прав и интересов пайщиков, подотчетному общему собранию пайщиков.</p><p> </p><p dir="ltr">Совет определяет идеологию развития кооператива, правление – руководит текущей деятельностью. Ревизионная комиссия из числа самих пайщиков контролирует соблюдение устава, финансовую и хозяйственную деятельность. Кроме того, периодически правление привлекает крупные аудиторские компании для проверки его деятельности внешними профессиональными финансистами.</p><p> </p><p dir="ltr">Кооператив – некоммерческая организация: добровольное объединение граждан и юридических лиц, созданная для удовлетворения коллективным способом потребностей каждого её участника, по сути, это касса взаимопомощи, где люди объединившись помогают друг другу. Это хорошо видно, например, в сложившейся ситуации, когда десятки пайщиков защищают кооператив по своей собственной инициативе.</p><p> </p><p dir="ltr">Более 30 тыс. пайщиков, членов их семей, сочувствующих подписали две путиции в защиту кооператива, размещенные на change.org.</p><p> </p><p dir="ltr">Я задумывал «Бест Вей» в 2014 году как классический кооператив, добровольное объединение граждан и юридических лиц, созданное на основе членства путем объединения его членами имущественных паевых взносов в целях удовлетворения потребностей его членов в покупке желаемых объектов -- будь то недвижимость или автомобиль, и предоставляющее средства в рассрочку, а не в кредит. Ведь суть кооператива – взаимопомощь между пайщиками, последовательная помощь каждому пайщику со стороны всех остальных пайщиков.</p><p> </p><p dir="ltr">В нашем кооперативе пайщик вносит часть суммы за заявленный самим пайщиком объект, остальную часть предоставляет в рассрочку паевой фонд кооператива, который пополняется всеми пайщиками. Такая схема работы основана и на российском дореволюционном, и на советском, и на международном опыте. </p><p> </p><p dir="ltr">Разумеется, некоммерческий подход обусловливает сравнительно мягкие финансовые условия. Хотя у кооперативов есть свои особенности – например, для приобретения желаемого объекта нужно отстоять в очереди.</p><p> </p><p dir="ltr">У кооператива сейчас более 19 тыс. пайщиков, он приобрел для пайщиков более 2500 объектов. в 2021 году мы приобретали для пайщиков в среднем по две-три квартиры в день включая выходные и праздничные дни. Почти 250 объектов уже перешли в собственность пайщиков.</p><p> </p><p dir="ltr">- И тут происходит включение в список ЦБ…</p><p> </p><p dir="ltr">- Центробанк кратко называет его предупредительный список: само по себе включение в этот список носит информационный характер.</p><p> </p><p dir="ltr">Но последствия не заставили себя ждать: вдруг в середине декабря происходит блокировка Роскомнадзором нескольких страниц официального сайта и сайта целиком. Центральный банк сам сообщил в СМИ, что обратился в Генеральную прокуратуру с предложением заблокировать наш официальный сайт как инструмент привлечения новых пайщиков, а Генпрокуратура дала соответствующее предписание Роскомнадзору.</p><p> </p><p dir="ltr">Причем, как я сказал, был заблокирован весь сайт целиком, а не отдельные страницы, на которых рассказывалось об условиях вступления в кооператив – заблокированы были, например, личные кабинеты пайщиков, в которых фиксируется движение очереди и происходят расчеты с кооперативом, что не может не сказаться на интересах как кооператива, так и отдельных его пайщиков.</p><p> </p><p dir="ltr">В кооперативе, как я сказал, более 19 тыс. пайщиков со всей России, если считать с членами семей, «санкции» коснулись более 75 тыс. граждан России. Но при этом увеличилось число пайщиков, полностью погасивших свой пай и переоформивших недвижимость из собственности кооператива в свою собственность – это происходит на основании выдаваемой правлением справки о полной выплате пая.</p><p> </p><p dir="ltr">- Если пайщики начнут отказываться от участия в кооперативе, чем это чревато?</p><p> </p><p dir="ltr">- Ничем. Мы готовы вернуть каждому пайщику паевые средства в любой момент – это закреплено в уставе кооператива. </p><p> </p><p dir="ltr">Гарантией для возврата пайщику, которому уже приобретена недвижимость, служит ликвидный объект недвижимости. В случае выхода данного пайщика он может быть либо предложен другому пайщику, либо реализован на открытом рынке, а средства от его продажи пополнят паевой фонд кооператива.
